These Terms and Conditions govern the use of iooi.com.my and business transactions with IOOI CONSULTATION (Registration No. 202201038439).
By using our website, submitting an enquiry, requesting a quotation or placing an order, you agree to these Terms and Conditions.
1. Website Purpose
The IOOI website is an industrial product catalogue and enquiry platform.
Unless expressly stated otherwise:
- The website does not constitute an online retail store.
- Adding a product to an enquiry list does not place an order.
- Submitting an RFQ does not guarantee availability or pricing.
- Product information is provided for general reference.
- A transaction is confirmed only after written acceptance by IOOI.
2. Product Information
We take reasonable care when presenting product names, descriptions, photographs and specifications.
However:
- Images may be for illustration.
- Colours, packaging and appearance may vary.
- Specifications may be updated by manufacturers.
- Product availability may change without notice.
- Customers must verify that the selected product is suitable for their intended application.
Where there is a conflict, the final written quotation, approved specification or manufacturer documentation will take precedence over general website information.
3. Quotations
Unless otherwise stated in writing:
- Quotations are valid only for the period shown.
- Prices are subject to stock, supplier pricing, currency fluctuations and availability.
- Delivery, insurance, installation and special handling may be quoted separately.
- Taxes and duties will be applied where required.
- A quotation is not a reservation of stock.
- IOOI may correct an obvious pricing, typographical or calculation error before accepting an order.
4. Orders
An order becomes binding only when IOOI accepts it in writing.
A purchase order submitted by a customer is subject to:
- IOOI’s written acceptance
- Agreed pricing and payment terms
- Product availability
- Final specifications
- Delivery arrangements
- Credit approval, where applicable
Terms stated in a customer’s purchase order do not override these Terms unless IOOI expressly agrees in writing.
5. Payment
Payment terms will be stated in the quotation, invoice or written agreement.
IOOI may require:
- Full payment in advance
- A deposit
- Progress payments
- Payment before delivery
- Approved credit terms
IOOI may suspend sourcing, production, delivery or other work when payment is late or incomplete.
Any bank charges, payment fees, taxes or currency conversion costs may be charged to the customer where applicable.
6. Product Availability and Lead Time
Stock availability and lead times are estimates unless IOOI expressly confirms otherwise.
Lead times may be affected by:
- Supplier availability
- Manufacturing schedules
- Import or customs clearance
- Freight arrangements
- Quantity ordered
- Product configuration
- Customer approval delays
- Events outside IOOI’s reasonable control
IOOI will not be responsible for delays caused by suppliers, manufacturers, carriers, customs authorities or other circumstances beyond our reasonable control.
7. Delivery
Delivery arrangements, charges and estimated timelines will be stated in the quotation or confirmed separately.
Customers are responsible for providing:
- An accurate delivery address
- Correct site contact information
- Suitable access for delivery
- Any required unloading equipment or manpower
- Delivery permits, approvals or site instructions

8. Inspection
Customers must inspect delivered goods promptly.
Visible damage, shortages or incorrect items should be recorded on the delivery documentation and reported to IOOI as soon as reasonably possible with photographs and supporting information.
Accepting delivery without noting visible damage may affect a claim against the carrier.
9. No Cancellation or Return
Once an order has been accepted by IOOI, it cannot be cancelled, changed or returned because of:
- Change of mind
- Incorrect product selection by the customer
- Incorrect measurements or specifications supplied by the customer
- Excess quantities ordered
- Project cancellation
- Budget changes
- Internal approval issues
- Incompatibility not disclosed before ordering
Custom-made, imported, configured, specially sourced and non-stock products are strictly non-cancellable and non-returnable after confirmation.
This restriction does not exclude any right or remedy that cannot lawfully be excluded, including where goods are materially defective, damaged before delivery or incorrectly supplied by IOOI.

10. Warranties
Any product warranty is limited to:
- The warranty expressly stated in writing by IOOI; or
- The applicable manufacturer’s warranty.
Manufacturer warranty claims are subject to the manufacturer’s procedures, inspection and approval.
A warranty may not cover:
- Normal wear and tear
- Misuse or negligence
- Improper storage
- Incorrect installation
- Unauthorised repairs or modifications
- Use outside published specifications
- Damage caused by incompatible equipment
- Accidents, corrosion, contamination or external conditions
11. Limitation of Liability
To the extent permitted by law, IOOI will not be liable for indirect, incidental, special or consequential losses, including loss of profit, production, revenue, opportunity, data or business interruption.
Where liability cannot be excluded, IOOI’s liability will be limited to the remedy or amount permitted by applicable law.
Nothing in these Terms excludes liability that cannot legally be excluded.
12. Customer Responsibilities
The customer is responsible for:
- Providing accurate requirements and specifications
- Confirming product suitability
- Checking compatibility
- Obtaining necessary licences and approvals
- Following manufacturer instructions
- Ensuring safe installation and use
- Complying with workplace, electrical, fire, environmental and safety requirements
Any assistance provided by IOOI does not replace assessment by a qualified engineer or other competent professional where required.
13. Intellectual Property
Website content, design, text, graphics and IOOI branding belong to IOOI or their respective rights holders and may not be copied or commercially reused without permission.
Manufacturer names, trademarks, product images and documents remain the property of their respective owners.
14. Prohibited Website Use
You must not:
- Attempt unauthorised access
- Introduce malicious code
- Scrape the website excessively
- Interfere with website operation
- Submit fraudulent or misleading information
- Use website content unlawfully
- Impersonate another person or organisation
15. Third-Party Websites
External links are provided for convenience. IOOI does not control or accept responsibility for third-party websites.
16. Force Majeure
IOOI will not be responsible for failure or delay caused by events beyond its reasonable control, including natural disasters, fire, flood, war, government action, labour disruption, supplier failure, transport interruption, epidemic, system failure or import restrictions.
17. Governing Law
These Terms are governed by the laws of Malaysia.
The parties will first attempt to resolve disputes in good faith. Any unresolved dispute will be subject to the jurisdiction of the courts of Malaysia, unless otherwise agreed in writing.
18. Changes to These Terms
IOOI may update these Terms from time to time. The version published when an order is accepted will apply to that order unless otherwise agreed.
